1. Agreement overview
This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you", "your") and Clearstep ("Vendor", "we", "us", "our") governing your use of the Rovo & Usage Cost Center app ("the App"), a Forge application for Atlassian Jira Cloud distributed through the Atlassian Marketplace (when listed) or via authorised installations.
By installing or using the App, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the App. This Agreement applies only to Rovo & Usage Cost Center. Automation Step Cost Analyzer has a separate EULA.
2. License grant
Subject to the terms of this Agreement, Vendor grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the App on Jira Cloud sites where you have administrative privileges
- Import usage CSV exports you are authorised to access, configure rates and team mappings, and generate chargeback reports
- Store aggregated totals within Forge app storage on your Atlassian site
This license is granted per the pricing tier you have selected on the Atlassian Marketplace (when applicable).
3. License restrictions
You may not:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Modify, adapt, translate, or create derivative works based on the App
- Rent, lease, lend, sell, sublicense, or distribute the App to third parties
- Remove, alter, or obscure any proprietary notices on the App
- Use the App to develop a competing product or service
- Use the App for any unlawful purpose or in violation of Atlassian's terms of service
- Attempt to circumvent licensing, security, or access controls
- Provide Atlassian API tokens or passwords to the App (the App does not accept them)
4. Atlassian Marketplace terms
Your use of the App is also subject to the Atlassian Marketplace Terms of Use and the Atlassian Customer Agreement. In the event of conflict, Atlassian's terms govern the relationship between you and Atlassian; this Agreement governs the relationship between you and Vendor.
5. Intellectual property
The App, including all code, design, text, graphics, and other content, is owned by Vendor or its licensors and is protected by intellectual property laws. This Agreement does not transfer any ownership rights to you.
6. Data and privacy
Your use of the App is subject to our Rovo & Usage Cost Center Privacy Policy. By using the App, you consent to the collection and use of information as described in that Privacy Policy.
7. Important disclaimers
7.1 Not official billing
FIGURES ARE DERIVED FROM ATLASSIAN USAGE EXPORTS YOU IMPORTED AND FROM RATES YOU CONFIGURED. YOUR ATLASSIAN INVOICE IS AUTHORITATIVE.
Do not make financial decisions based solely on this App's outputs. The App does not sync usage in real time and does not claim to match Atlassian billing line items.
7.2 No warranty
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
7.3 Third-party services
The App runs on Atlassian Forge and depends on Atlassian services and export formats. Vendor is not responsible for changes to Atlassian APIs, Platform usage exports, billing methods, or product features.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- VENDOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.
- VENDOR'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS (USD $50), WHICHEVER IS GREATER.
- VENDOR IS NOT LIABLE FOR ANY DAMAGES ARISING FROM RELIANCE ON THE APP'S FIGURES FOR FINANCIAL OR BUSINESS DECISIONS.
9. Indemnification
You agree to indemnify, defend, and hold harmless Vendor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of this Agreement, or your violation of any third-party rights.
10. Termination
This Agreement terminates when you uninstall the App or when Vendor terminates the license for breach. Sections that by their nature should survive (including disclaimers, limitation of liability, and governing law) survive termination.
11. Governing law
This Agreement is governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles.
